These Terms of Service ("Terms") govern your use of the websites, mobile apps, eSIM platform and services offered by Dejitech, Inc. doing business as Bcengi ("Bcengi", "we", "our" or "us"). By accessing or using our services, you agree to be bound by these Terms. If you are using Bcengi on behalf of an organization, you agree to these Terms on behalf of that organization and confirm that you have authority to do so. If you do not agree, do not use our services.

1. Who We Are

Bcengi is a trading name of Dejitech, Inc., a corporation incorporated in New Jersey in 2018 and headquartered in New Jersey, United States.

These Terms work together with our Privacy Policy and our Refund Policy, which are part of this agreement. If your account was provided to you by an organization, our Data Processing Agreement may also apply.

2. Overview of Services

Bcengi provides access to global cellular data through digital SIMs ("eSIMs") for individuals and businesses. Services may include data plans, voice and SMS services, self-service management portals, in-app travel assistance features, APIs, integrations and reseller platforms. We may add, change or remove features at any time. Use of the services is subject to these Terms and our Privacy Policy.

3. Eligibility

You must be at least 16 years old to create a Bcengi account. If you are under the age of majority where you live, you may use our services only with the involvement of a parent or guardian who accepts these Terms. You must be able to enter into a binding contract, and you must not be barred from using our services under the laws of your country or of the United States.

4. Account Registration

To access certain features, you must create an account and provide accurate information.

• TravelPass (consumer): registration requires only an email address. We sign you in with a one-time code sent to that address, or through Google or Apple.
• WorkPass (enterprise): registration may require company details, billing contacts, and administrator and user emails.
• AgentPass (reseller): registration is available through a self-service portal.

You are responsible for keeping access to your email address and your credentials secure, and for all activity that occurs under your account. Tell us promptly at support@bcengi.com if you believe your account has been used without your permission. For businesses and resellers, you may designate additional users or administrators, for whom you are also responsible.

5. Our Mobile Apps and the App Stores

We publish the Bcengi app for iPhone and iPad through the Apple App Store, and the Bcengi app for Android through Google Play.

License. We grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable license to install and use the Bcengi app on devices that you own or control, solely for your own use of our services and in accordance with these Terms and the usage rules of the store you obtained it from. You may not copy, modify, translate, reverse engineer, decompile, disassemble, attempt to derive the source code of, rent, lease, lend, sell or create derivative works from the app or any part of our platform, except to the extent that applicable law expressly permits it despite this restriction. We reserve all rights not expressly granted here.

The stores are not parties. Your use of an app is also subject to the terms and usage rules of the store you obtained it from. Apple and Google are not parties to these Terms, are not responsible for the app or its content, and have no obligation to furnish any maintenance or support for it. Any questions, complaints or claims about the app should come to us, using the contact details in section 24.

All Bcengi products and services are purchased directly from Bcengi and paid for through our payment processor, as described in section 7.

6. Acceptable Use

You agree to use Bcengi services in compliance with all applicable laws and only for legitimate, authorized purposes. You may not:

• Interfere with or disrupt the integrity, security or performance of the platform;
• Use the service to send spam or for illegal, fraudulent, harassing or abusive activity;
• Attempt to gain unauthorized access to any system, account or data;
• Use automated means to create accounts, test payment cards or claim promotions or rewards you are not entitled to;
• Resell eSIMs except through the reseller functionality we make available to you; or
• Reverse engineer, decompile or attempt to access our source code.

We reserve the right to suspend or terminate your access if you violate these Terms.

7. Payments and Balances

Payment processing: all payments are handled by our payment processor. Bcengi does not store full payment card details.

Account balance: your Bcengi balance is prepaid credit that you can spend on our services. It is not a deposit, it is not held with a bank, it earns no interest, and it is not transferable to another person or account.

Auto-refill authorization: by completing a purchase, you authorize Bcengi to charge your saved payment method automatically for future balance refills when your account balance runs low.

Control and deletion: you may disable auto-refill or remove your saved payment method at any time in your account settings. If auto-refill is disabled and your balance reaches zero, your eSIM service will pause until you top up manually or re-enable auto-refill.

Pricing: prices are listed in US dollars unless stated otherwise. Prices may change without notice, and the price shown at the time of purchase is the price that applies. You are responsible for any taxes, duties or bank and card issuer fees that apply to your purchase, except for taxes we are required to collect and show at checkout.

Enterprise billing: business users may access invoicing or prepaid balance options through the enterprise or reseller portal.

8. Refunds

Our full refund terms are in our Refund Policy, which forms part of these Terms. In summary:

• Charges are non-refundable once an eSIM has been installed and activated and any usage has been incurred, except where required by law.
• A refund may be issued before activation if no data has been consumed.
• All AgentPass purchases are non-refundable.
• To protect all customers from abuse and card-testing behavior, each account may request up to three eSIM replacements per calendar year, and may receive a maximum of three refunds in total, whether full or partial, except where otherwise required by law. Requests beyond those limits may be declined or may require additional verification.

Nothing in this section or in our Refund Policy limits any statutory refund or cancellation right you have where you live.

9. eSIM Compatibility

You are responsible for ensuring that your device supports eSIM technology and is not carrier-locked. Bcengi does not guarantee compatibility with all devices, networks or geographic locations. We provide compatibility tools and guidance, but the final responsibility rests with you. Check compatibility before you buy.

10. Data Usage and Expiry

Your data usage is subject to the terms of the plan you select. In most cases your balance does not expire unless we state otherwise. There are no rollover guarantees unless explicitly stated, and once your balance is consumed your service may pause until you top up again. Network speeds depend on the local operator, your device and local conditions, and are not guaranteed. Resellers may configure different rules for their own customers' plans.

11. Voice and SMS Services (Travel Numbers)

Bcengi may offer optional voice and SMS services ("Travel Numbers") in supported countries. A Travel Number is a dedicated phone number leased to a single verified user for personal communication through the Bcengi app.

Identity verification: Travel Numbers require identity verification before activation. Numbers may not be shared, transferred or used on behalf of another person.

Personal use only: Travel Numbers are intended for individual, human-initiated, person-to-person communication. Automated, bulk, marketing or application-generated messaging is prohibited, as is any use that violates applicable law or carrier messaging policies, including TCPA and CTIA guidelines. Spam, fraud, harassment or phishing will result in immediate suspension or termination of the number.

Recipient opt-out: recipients of messages from a Travel Number may reply STOP at any time to block further messages from that number, and those requests are honored automatically. Reply HELP for assistance.

Emergency services: Travel Numbers are not a replacement for traditional phone service and provide limited or no access to emergency services. Where voice calling is offered, emergency dialing is routed based on the registered address you provide, not your live location. Always use your device's native dialer for emergency calls.

Number lease: Travel Numbers are leased, not owned. Numbers may be reclaimed on non-payment or account termination, and may have to change for regulatory or carrier reasons. We will give notice where we can.

12. Travel Assistance Features and Third-Party Content

Our apps may include travel assistance features that show suggestions, places, maps, directions and links to third-party websites and providers. That information is provided for convenience only. We do not control third-party content, availability, prices or terms, we do not guarantee that it is accurate or current, and we are not a party to any booking or transaction you make with a third party. Some links may earn us a commission, which never changes the price you pay. Always confirm important details, such as opening hours, entry requirements and prices, with the provider.

13. Account Deletion, Suspension and Termination

You may stop using Bcengi at any time.

Deleting your account. You can delete your account and its personal data from inside the app. Open Profile, then Account, then Profile Info, and choose Delete Account. You can also ask us to delete your account by emailing privacy@bcengi.com from the address on your account. Deletion is permanent, it deactivates your active eSIM lines, and any remaining balance is forfeited and is not refunded except where a refund is required by law. Use or move your balance before you delete your account. Section 15 of our Privacy Policy explains exactly what is removed and what we are required to keep.

Suspension and termination by us. We may suspend or terminate your account for violations of these Terms, for fraudulent, abusive or unlawful behavior, for non-payment, or where business, legal or regulatory requirements oblige us to. Where the law allows and the circumstances permit, we will give you notice and an opportunity to put things right.

If your account is terminated you will lose access to your account and to any remaining balance, and no refund will be issued unless required by law.

14. Intellectual Property

Bcengi and its licensors own all rights to the service, platform, software, apps and content we provide. You may not copy, reproduce or use our branding or materials except as we authorize in writing. Reseller partners may use co-branding in accordance with their portal settings and applicable terms. If you send us feedback or suggestions, you grant us permission to use them without obligation to you.

15. Third-Party Services

Our services rely on third parties, including mobile network operators, communications providers, payment and identity providers, and cloud and support platforms. We are not responsible for the availability, accuracy or behavior of third-party services and networks. Your use of a third-party service may also be subject to that provider's own terms.

16. Disclaimers

Services are provided "as is" and "as available". We do not warrant that the service will be uninterrupted or error-free, that connectivity, coverage or speed will be available in any particular place or at any particular level, or that eSIMs will be compatible with every device or carrier. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

17. Limitation of Liability

To the maximum extent permitted by law, Bcengi will not be liable for any indirect, incidental, special, punitive or consequential damages, including loss of data, profits, revenue or business opportunities, or for any failure of connectivity in any location.

Our total liability for all claims arising from your use of the service will not exceed the amount you paid to us in the six months before the event that gave rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

18. Indemnification

You agree to indemnify and hold harmless Bcengi, its officers, directors, affiliates and employees from any claims, damages or liabilities arising out of your use of the services or your violation of these Terms.

19. Export Controls and Sanctions

You agree to comply with all applicable export control and sanctions laws. You represent that you are not located in, and not ordinarily resident in, a country or territory subject to a United States government embargo, and that you are not on any United States list of prohibited or restricted parties. You may not use our services in violation of those laws.

20. Changes to the Services and These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page always shows the current version. If changes are material, we will give notice by email or in our apps and websites before they take effect. Continued use of the services after that means you accept the updated Terms. If you do not accept them, stop using the services and delete your account.

21. Governing Law and Venue

These Terms are governed by the laws of the State of New Jersey and applicable United States federal law, without regard to conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in New Jersey, and you and we consent to their jurisdiction. If the mandatory consumer protection law of your country of residence gives you the right to bring proceedings in your local courts or to rely on your local law, these Terms do not take that right away.

22. Notices

We give notice to you by email to the address on your account, or in our apps or on our websites. You give notice to us at support@bcengi.com. Notices are effective when sent.

23. General

These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and Bcengi about the services, and they replace any earlier understanding on the same subject. If any provision is held unenforceable, the rest stays in force and that provision is limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver of it. You may not assign or transfer your rights under these Terms without our written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition or sale of assets. Neither party is liable for delay or failure caused by events beyond its reasonable control. There are no third-party beneficiaries of these Terms.
